Welcome to Sequirly! These Terms of Service govern your use of the Sequirly and related services. By using Sequirly, you agree to these terms. Please read them carefully.

These terms form a binding legal agreement between you and Sequirly. If you don't agree with any part of these terms, please don't use our service.

1. Acceptance of Terms

By accessing or using Sequirly, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These terms apply to all users of the service, including free and paid subscribers.

If you are using Sequirly on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

Sequirly is a AI safety tool designed to:

  • Detect sensitive data (API keys, passwords, credentials, PII, etc.) before it's shared with AI platforms
  • Provide real-time alerts and intervention mechanisms
  • Maintain audit logs of detected sensitive data (stored locally or encrypted in the cloud, based on your settings)
  • Operate across multiple AI platforms including ChatGPT, Claude, Gemini, and others
  • Provide team management and compliance features for enterprise users

Sequirly uses a zero-knowledge architecture, meaning we don't see or store the actual sensitive data that our extension detects.

3. User Accounts and Eligibility

3.1 Account Creation

To use Sequirly, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

3.2 Eligibility

You must be at least 16 years old to use Sequirly. By using our service, you represent that you meet this age requirement and have the legal capacity to enter into these terms.

4. Subscription and Payments

4.1 Pricing and Plans

Sequirly offers multiple subscription tiers, including free and paid plans. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan
  • Payment is due immediately upon subscription or renewal
  • We use third-party payment processors; your payment information is subject to their terms and privacy policies
  • All fees are non-refundable except as required by law or as expressly stated in these terms

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time through your account settings or by contacting support.

5. Acceptable Use Policy

When using Sequirly, you agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Attempt to reverse engineer, decompile, or disassemble the software
  • Use the service to transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the service or servers
  • Use automated means (bots, scrapers) to access the service without permission
  • Resell or redistribute the service without authorization
  • Remove, obscure, or alter any proprietary notices
  • Use the service for any fraudulent or malicious purpose

6. Intellectual Property

Sequirly and all related materials, including software, design, text, graphics, logos, and trademarks, are owned by Sequirly or our licensors. These terms don't grant you ownership rights—only a limited license to use the service.

6.2 Your Data

You retain all rights to your data. By using Sequirly, you grant us a limited license to process your data solely to provide the service, as described in our Privacy Policy. We don't claim ownership of your content.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. Please review it to understand our practices.

8. Service Availability and Modifications

8.1 Availability

We strive to maintain high availability, but we don't guarantee uninterrupted or error-free service. Sequirly may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Changes to Service

We may modify, update, or discontinue features at any time. We'll provide reasonable notice of material changes that negatively impact functionality, but we're not obligated to maintain any specific feature indefinitely.

9. Termination

9.1 By You

You may terminate your account at any time by contacting support. Termination doesn't entitle you to a refund for any prepaid fees.

9.2 By Us

We may suspend or terminate your access if:

  • You violate these terms or our Acceptable Use Policy
  • Your account has been inactive for an extended period
  • We're required to do so by law
  • Continued provision of the service creates a security or legal risk

9.3 Effect of Termination

Upon termination, your right to use Sequirly immediately ceases. We'll delete your data according to our Privacy Policy, typically within 30 days. Some data may be retained as required by law.

10. Disclaimers and Warranties

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY.

Sequirly is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

  • Merchantability, fitness for a particular purpose, and non-infringement
  • Uninterrupted, error-free, or secure operation
  • Complete accuracy or reliability of results
  • That all vulnerabilities or sensitive data will be detected

While Sequirly is designed to detect sensitive data, it may not catch everything. You remain responsible for reviewing what you share with AI platforms. Sequirly is a tool to assist you, not a guarantee of complete protection.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Sequirly shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • This includes damages for loss of profits, data, goodwill, or other intangible losses
  • Our total liability for all claims related to the service shall not exceed the amount you paid us in the 12 months preceding the claim
  • For free users, our liability is limited to $15 USD

These limitations apply regardless of the legal theory (contract, tort, negligence, etc.) and even if we've been advised of the possibility of such damages. Some jurisdictions don't allow these limitations, so they may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sequirly, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use or misuse of the service
  • Your violation of these terms
  • Your violation of any third-party rights
  • Any content you submit or share while using Sequirly

13. Third-Party Services and Links

Sequirly integrates with third-party AI platforms (ChatGPT, Claude, Gemini, etc.) and may contain links to third-party websites. We don't control these platforms or websites and are not responsible for their content, practices, or terms. Your use of third-party services is governed by their respective terms and policies.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal claim, please contact us at contact@sequirly.com to attempt to resolve the dispute informally. We're committed to working with you in good faith.

14.2 Governing Law

These terms are governed by the laws of Nepal, without regard to conflict of law principles. Any legal action must be brought in the courts located in Nepal.

14.3 Arbitration

If we cannot resolve a dispute informally, you agree that disputes will be resolved through binding arbitration rather than in court, except you may assert claims in small claims court if they qualify. This means you waive your right to a jury trial.

15. General Provisions

15.1 Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and Sequirly regarding the service and supersede all prior agreements.

15.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision doesn't constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer these terms or your account without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

We're not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet disruptions.

16. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we'll notify you by:

  • Sending an email to the address associated with your account
  • Updating the "Last Updated" date at the top of this page

Your continued use of Sequirly after changes take effect constitutes acceptance of the updated terms. If you don't agree with the changes, you must stop using the service.
